1 Introduction & Definitions

These Terms of Use ("Terms") establish the legal agreement between OVRL Athletica, a company registered in France ("Company," "we," "us," or "our"), and any individual or legal entity ("Ambassador," "you," or "your") who applies to participate in the OVRL Athletica Ambassador Program ("Program").

By accepting these Terms, you acknowledge that you have read, understood, and agree to be bound by all provisions herein. If you do not agree with any part of these Terms, you must not participate in the Program.

Key Definitions:

Ambassador: An individual or legal entity approved by the Company to promote OVRL Athletica products through their personal networks and social media channels.
Program: The OVRL Athletica affiliate/ambassador program offering commission-based compensation for product promotion.
Commission: The 10% compensation paid on verified sales generated through the Ambassador's unique referral link or coupon code.
Products: All supplements and health products offered by OVRL Athletica, including but not limited to Whey Protein, BCAA, Creatine, and Pre-Workout formulations.
Content: Any promotional material, social media posts, videos, reviews, or marketing content created by the Ambassador.

2 Eligibility Requirements

To be eligible for participation in the OVRL Athletica Ambassador Program, you must meet ALL of the following criteria:

2.1 Legal Requirements

Be at least 18 years of age at the time of application
Be a resident of a European Union member state or a country with which the EU has established trade agreements
Possess valid legal identification and tax identification number (if applicable)
Have the legal capacity to enter into binding contracts

2.2 Criminal Background Requirements

You must not have been convicted of any criminal offense involving fraud, theft, violence, sexual misconduct, or drug trafficking
You must not be subject to any ongoing criminal investigation or prosecution
You must not be listed on any sanctions list, terrorist watch list, or similar regulatory prohibition
You must not have been previously terminated from the Program due to violation of these Terms

2.3 Compliance & Regulatory Requirements

You must comply with all applicable EU regulations, including GDPR, consumer protection laws, and advertising standards
You must comply with all national laws of your country of residence
You must not be subject to any regulatory sanctions or prohibitions from financial authorities
You must maintain an active, verifiable social media presence with genuine followers

⚠️ Important:The Company reserves the right to verify your eligibility through background checks, social media verification, and third-party databases. Providing false information during the application process will result in immediate disqualification and potential legal action.

3 Application & Acceptance Process

3.1 Application Submission

To apply for the Ambassador Program, you must:

Complete the official application form with accurate and truthful information
Provide valid proof of identity and tax identification
Declare any criminal history or regulatory issues (if applicable)
Agree to background verification procedures
Accept these Terms of Use in their entirety

3.2 Company Review & Decision

The Company will review your application within 5-10 business days. We may request additional information or clarification. The Company reserves the right to:

Approve or reject your application at its sole discretion
Conduct background checks and social media verification
Request additional documentation or proof of identity
Decline applications without providing specific reasons

3.3 Acceptance & Activation

Upon approval, you will receive:

Confirmation email with your unique Ambassador ID
Personalized referral link and exclusive coupon code
Access to the Ambassador Dashboard for tracking sales and commissions
Marketing materials and content templates
Starter kit with OVRL Athletica products (€250 value)

4 Ambassador Obligations & Responsibilities

4.1 Honest & Authentic Promotion

All promotional content must be truthful, accurate, and not misleading
You must clearly disclose your affiliation with OVRL Athletica in all promotional materials
You must not make false health claims or medical promises about Products
You must not exaggerate earning potential or guarantee specific income levels
All testimonials and reviews must reflect your genuine personal experience

4.2 Compliance with Advertising Standards

All content must comply with EU advertising regulations and national advertising standards
You must include appropriate disclaimers such as "#ad" or "sponsored content" on social media posts
You must comply with platform-specific advertising policies (Instagram, TikTok, YouTube, etc.)
You must not engage in deceptive marketing practices or spam
You must not target minors with promotional content

4.3 Content Ownership & Rights

You retain ownership of all content you create
You grant OVRL Athletica a non-exclusive license to use your content for marketing purposes
You must not use OVRL Athletica's intellectual property without explicit written permission
You must not create content that damages the Company's reputation or brand

4.4 Confidentiality

You must keep your unique referral link and coupon code confidential
You must not share sensitive business information or internal communications
You must not disclose other Ambassadors' personal information or earnings

4.5 Legal Compliance

You must comply with all applicable tax laws and report income as required
You are responsible for paying any applicable taxes on commissions earned
You must comply with GDPR and data protection regulations when collecting customer information
You must not engage in any illegal activities or encourage others to do so

5 Commission Structure & Payment Terms

5.1 Commission Rate

Ambassadors earn a 10% commission on all verified sales generated through their unique referral link or exclusive coupon code. Commission is calculated on the product sale price, excluding taxes and shipping costs.

5.2 Calculation & Tracking

Sales are tracked in real-time through the Ambassador Dashboard
Commissions are calculated on a monthly basis
Only verified, completed purchases qualify for commission
Refunded or cancelled orders will result in commission reversal
Chargebacks or disputed transactions may result in commission deduction

5.3 Payment Schedule

Commissions are paid monthly via bank transfer
Payments are processed on the 15th of each month for the previous month's sales
Minimum commission threshold: €50 (payments below this amount will be carried forward to the next month)
Payment delays may occur due to banking processing times (typically 3-5 business days)

5.4 Tax Responsibility

You are solely responsible for:

Reporting all commission income to relevant tax authorities
Paying applicable income taxes on commissions earned
Maintaining accurate records of all transactions and commissions
Complying with VAT regulations if applicable in your jurisdiction

⚠️ Tax Notice:OVRL Athletica does not withhold taxes from commission payments. You are responsible for all tax obligations. Failure to comply with tax laws is your sole responsibility and may result in legal consequences.

6 Prohibited Activities

Ambassadors are strictly prohibited from engaging in the following activities:

6.1 Fraudulent & Deceptive Practices

Creating fake accounts, followers, or engagement metrics
Purchasing followers or engagement through third-party services
Engaging in click fraud, referral fraud, or commission manipulation
Making false health claims or medical promises
Misrepresenting product benefits or effectiveness
Creating misleading testimonials or reviews

6.2 Illegal Activities

Promoting or selling Products to minors
Violating consumer protection laws or regulations
Engaging in money laundering or financial crimes
Promoting illegal substances or activities
Violating intellectual property rights

6.3 Harassment & Abuse

Harassing, threatening, or abusing customers or other Ambassadors
Engaging in discriminatory behavior based on race, gender, religion, or other protected characteristics
Creating content that promotes hate, violence, or discrimination

6.4 Competitive Activities

Promoting competing supplement brands while representing OVRL Athletica
Disclosing confidential business information to competitors
Engaging in activities that damage OVRL Athletica's reputation or market position

6.5 Spam & Unsolicited Marketing

Sending unsolicited emails, messages, or notifications
Engaging in aggressive or coercive marketing tactics
Violating platform-specific anti-spam policies
Purchasing email lists or contact databases for promotional purposes

7 Termination & Suspension

7.1 Termination by Ambassador

You may terminate your participation in the Program at any time by providing written notice to the Company. Upon termination:

Your referral link and coupon code will be deactivated
You will no longer earn commissions on new sales
Outstanding commissions will be paid according to the payment schedule
You must cease all promotional activities within 7 days

7.2 Termination by Company

The Company may terminate your participation immediately if:

You violate any provision of these Terms
You engage in fraudulent or deceptive practices
You engage in illegal activities
You make false health claims or mislead customers
You violate advertising standards or platform policies
Your social media accounts are suspended or banned
You are convicted of a crime or subject to regulatory sanctions
You engage in harassment, abuse, or discrimination
You fail to comply with GDPR or data protection regulations

7.3 Suspension

The Company may suspend your account temporarily if:

We detect suspicious activity or potential fraud
Your content violates advertising standards
We receive complaints from customers or other Ambassadors
We conduct routine compliance reviews

You will be notified of suspension and given an opportunity to respond within 7 days.

7.4 Consequences of Termination

All commissions earned prior to termination will be paid
You will lose access to the Ambassador Dashboard and marketing materials
You must return or destroy all Company materials
You must cease all promotional activities immediately
Terminated Ambassadors may not reapply for 12 months

8 Liability & Disclaimers

8.1 Product Liability

You acknowledge that:

OVRL Athletica products are dietary supplements, not medical treatments
You must not make medical claims or promise health benefits
You must include appropriate disclaimers: "These statements have not been evaluated by the FDA. This product is not intended to diagnose, treat, cure, or prevent any disease."
You are not responsible for product quality or safety (Company responsibility)
You are responsible for accurate product representation

8.2 Limitation of Liability

To the maximum extent permitted by law:

The Company is not liable for any indirect, incidental, or consequential damages
The Company's total liability is limited to the total commissions paid to you in the past 12 months
The Company is not liable for third-party actions or content
The Company is not liable for platform suspensions or account bans

8.3 Disclaimer of Warranties

The Program is provided "as-is" without warranties of any kind. The Company disclaims:

Warranties of merchantability or fitness for a particular purpose
Warranties regarding uninterrupted service or error-free operation
Warranties regarding earning potential or income guarantees

9 Data Protection & GDPR Compliance

9.1 Personal Data Processing

The Company processes your personal data in accordance with GDPR and applicable data protection laws. We collect and process:

Identity information (name, email, phone, address)
Tax identification numbers
Banking information for commission payments
Social media account information
Sales and commission data

9.2 Data Rights

You have the right to:

Access your personal data
Request correction of inaccurate data
Request deletion of your data (subject to legal retention requirements)
Object to data processing
Request data portability

9.3 Data Security

The Company implements appropriate security measures to protect your data. However, you acknowledge that:

No data transmission is completely secure
You are responsible for protecting your login credentials
You must report any unauthorized access immediately

10 Dispute Resolution & Governing Law

10.1 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

10.2 Dispute Resolution Process

In case of disputes, the following process applies:

Informal Resolution: Contact support@ovrlathletica.com with details of the dispute
Negotiation Period: Both parties have 30 days to negotiate in good faith
Mediation: If unresolved, disputes may be submitted to mediation
Arbitration: Disputes may be resolved through binding arbitration under ICC rules

10.3 Jurisdiction

Both parties agree to submit to the exclusive jurisdiction of the courts of France for any legal proceedings that cannot be resolved through the dispute resolution process above.

10.4 Limitation Period

Any claim must be filed within 2 years of the event giving rise to the claim, or it will be permanently barred.

11 Modifications & Updates

11.1 Right to Modify

The Company reserves the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance.

11.2 Continued Participation

Your continued participation in the Program after modifications become effective constitutes acceptance of the updated Terms.

11.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

By submitting your application and checking the box below, you acknowledge that:
